SONUSCORE TERMS & CONDITIONS
(including End User License Agreement and Consumer Information)

This Agreement governs the purchase and use of SONUSCORE digital audio products.

IMPORTANT-READ CAREFULLY:

For all products that we have done in partnership with Native Instruments (e.g. Action Strings, Mallet Flux, Emotive Strings, etc.) additional license terms of Native Instruments may apply in addition to these Terms & Conditions. Please refer to the EULA of our partner “Native Instruments”. 1. Subject Matter

SONUSCORE provides digitally delivered audio products supplied exclusively by electronic download (“Content”).

2. Grant of License

Upon full payment, SONUSCORE grants a non-exclusive, non-transferable, non-sublicensable right to use the Content for one single user. If you want to purchase a multiuser license, please contact us directly.

3. No Transfer of Ownership

The Content is licensed, not sold. All intellectual property rights remain with SONUSCORE.

4. Permitted Use

You may use the Content in your own finished productions without additional license fees.

5. Prohibited Use

You may not redistribute, resell, sublicense, or use the Content to create competing products or libraries, including but not limited to, re-selling, trading, sharing, resampling, mixing, processing, isolating, or embedding into software or hardware of any kind, for the purpose of re-recording or reproduction as part of any free or commercial library of musical and/or sound effect samples and/or articulations, or any form of musical sample or sound effect sample playback system or device.

No usage of the Content, in whole or in part, for the purpose of training, improving, or developing any Neural Networks (NN), Artificial Intelligence (AI) or Machine Learning (ML) models or algorithms, whether for commercial or non-commercial use.

6. Technical Protection Measures

The Content may include technical protection measures:

This product uses two forms of non-destructive copy protection: user specific water marking combined with an online detection system, monitoring over 400 TV channels and 75 million website worldwide.

Users who try to get past the copy protection or otherwise violate the terms of this agreement are subject to criminal and civil penalties and liable for monetary damages. Please respect our work and do not copy it. The more support we get from you, the more and the better products we will be able to release in the future.

7. Representations

SONUSCORE represents that it holds the necessary rights to license the Content.

8. Disclaimer of Warranties

The Content is provided “as is” without warranties of any kind.

9. Limitation of Liability

Liability is limited to the amount paid for the product, to the extent permitted by law.

10. Termination

This Agreement terminates automatically upon material breach.

11. Governing Law

German law applies. Exclusive place of jurisdiction is Mainz, Germany, where permitted.

12. Consumer Information

The products offered are digital content supplied electronically by download.

13. Right of Withdrawal

Consumers generally have a statutory right of withdrawal of fourteen (14) days.

14. Expiry of the Right of Withdrawal

The right of withdrawal expires once performance begins with the consumer’s express consent.

15. Taxes and VAT

VAT is charged according to applicable laws, including OSS. Reverse charge may apply for B2B customers.

18. Payment Processing and Contracting Party

If you are a customer with a billing address inside the EU, your purchase is handled by Sonuscore eGbR. All other purchases are handled by Smartsound LLC as an authorized reseller. The seller is indicated on the invoice.

19. Final Provisions

These Terms & Conditions constitute the entire agreement governing the purchase and use of SONUSCORE products.

Terms & Conditions - Instagram Giveaway

Acceptance of the terms and conditions

By participating in the competition organized by SONUSCORE on the social network “Instagram”, the participant expressly and bindingly accepts the following conditions of participation as well as the general terms and conditions of the company Sonuscore eGbR in the current version.

Eligibility to participate

Only persons who have reached the age of 18 are eligible to participate. Excluded from participation are all employees of SONUSCORE as well as their first and second-degree relatives and their partners in a marriage-like relationship and all persons who are or were involved in the realization of the campaign.

Raffle period

The raffle starts on June 18th, 2024 and ends on June 21st, 2024, 11:59:59 pm CEST.

Game mode

During the raffle period, users must like and comment on the post on the Instagram page of SONUSCORE and follow the page. This will enter them into the prize draw. SONUSCORE will randomly select the winner(s) from all participants and contact them by message via Instagram.

Prize

The prize is a free license of 1 of the following SONUSCORE products by the winners choice:

The prize will not be paid out in cash. The prize is not transferable and can not be exchanged for cash or other products. Reselling of the prize is strictly prohibited.

Prize delivery and promotion

The only account that will contact the winner regarding the giveaway is @Sonuscore. SONUSCORE will notify the winner via Instagram direct message after at least 1 week. The winner must reply to the message from SONUSCORE with their e-mail address within 3 days. If he/she fails to do so, the prize will be forfeited and another winner will be chosen.

The prize will be sent to the winner via email by SONUSCORE after receiving the winner’s email address by Instagram direct message. It can get either placed in an already existing SONUSCORE account or delivered via a product voucher.

The winner agrees to his/her first name being published by SONUSCORE via an Instagram Story. SONUSCORE will offer to tag the winner in this story, although this is completely optional and free to refuse.

SONUSCORE is not liable for the availability of the website. SONUSCORE is also not liable for any transmission errors. SONUSCORE may also modify, suspend or terminate the competition if this should be necessary due to force majeure or external circumstances beyond SONUSCORE’s control or if this is the only way to ensure that the competition can be carried out properly.

Liability

SONUSCORE shall not be liable for the temporary non-usability and/or total failure of the web servers through no fault of its own and/or for technical faults.

This promotion is in no way connected to Instagram and is in no way sponsored, supported or organized by Instagram. The recipient of the information provided is not Instagram, but SONUSCORE. Questions, comments or complaints about this competition should not be directed to Instagram, but to SONUSCORE at service@sonuscore.com. Instagram shall be indemnified and held harmless from all damages, losses and expenses of any kind (including reasonable attorneys’ fees and costs) resulting from claims relating to this competition (including, without limitation, its publication and organization).

Data privacy

SONUSCORE stores and uses the data collected during participation in the competition exclusively for the purpose of organizing the competition. Instagram’s privacy policy applies to the possible use of the data by Instagram. In all other respects, the General Data Protection Regulations of SONUSCORE apply. Miscellaneous

Legal recourse is excluded. Each person may only take part in the competition once. Participation via automated mass participation procedures of third parties is not permitted. Participation is free of charge. The participant only has to pay the fees for the internet connection.

The law of the Federal Republic of Germany shall apply.
